License Grant

HOI, LLC grants non-exclusive non-transferable licenses to use the products and software solely for internal use within that organization. This license does not allow for the redistribution or sublicensing of the products or software to any third party.

Restrictions on Use

Use of the products and software are permitted for members of organizations who have a valid and current license agreement.

• You may not modify, adapt, translate, or create derivative works based on the products or software without prior written consent from HOI, LLC.
• You may not reverse engineer, decompile, disassemble, or attempt to derive the source code of the software.
• The products and software must not be used for any unlawful purpose or in any manner that infringes upon third-party rights including intellectual property rights.

Ownership

The products and software including all intellectual property rights remain the exclusive property of HOI, LLC. No ownership rights are transferred to you under this agreement.

Confidentiality

You agree to maintain the confidentiality of the products, software, and any proprietary information provided by HOI, LLC. Confidential information includes, but is not limited to, the products, software, related documentation, proprietary algorithms, methodologies, and trade secrets. You must not disclose any confidential information to third parties without prior written consent from HOI LLC.

Warranties and Disclaimers

HOI, LLC warrants that it has the right to grant the license herein. Except as expressly stated in this agreement, the products and software are provided "as is" without any warranty of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

Limitation of Liability

In no event shall HOI, LLC be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with this agreement or the use of the products and software, even if HOI, LLC has been advised of the possibility of such damages.

Indemnification

You agree to indemnify, defend, and hold harmless HOI, LLC from and against any claims, liabilities, damages, losses, or expenses, including reasonable attorneys' fees and costs, arising out of or in connection with your use of the products and software.

Audit Rights

HOI, LLC reserves the right to audit your use of the products and software to ensure compliance with these terms, provided that such audit is conducted during normal business hours and with at least fifteen (15) business days' prior written notice.

Force Majeure

Neither party shall be liable for any failure or delay in performing its obligations under this agreement if such failure or delay is caused by circumstances beyond its reasonable control, including but not limited to acts of God, war, terrorism, strikes, or governmental actions.

Termination

This agreement is non-cancellable by you and shall remain in effect perpetually unless terminated by HOI, LLC for cause. HOI, LLC may terminate this agreement with immediate effect upon written notice if you breach any material term and fail to cure such breach within thirty (30) days of receiving notice specifying the breach. Upon termination, you must immediately cease using the products and software and return or destroy all copies in your possession.

General Provisions

This agreement is valid except in cases where signed agreements differ, in which case the signed agreements take precedence.

This agreement shall be governed by and construed in accordance with the laws of the State of North Carolina without regard to its conflict of laws principles.

Any disputes arising out of or relating to this agreement shall be resolved in the state or federal courts located in Surry County, North Carolina, and the parties consent to the jurisdiction and venue of such courts.

User Responsibilities

You are responsible for complying with all applicable laws and regulations while using the products and software. You must ensure that your use of the products and software does not violate any third-party rights.

Account Management

If the products or software require an account, you are responsible for maintaining the confidentiality of your account credentials. You are responsible for all activities that occur under your account.

Data Privacy and Security

HOI, LLC respects your privacy and is committed to protecting your personal data. For more information, please refer to our Privacy Policy. We implement appropriate technical and organizational measures to ensure a level of security appropriate to the risk of processing your personal data.

Payment and Refund Policy

Details on payment terms and conditions are provided separately. Please refer to your licensing agreement for specific payment information. Refund policies, if applicable, are also outlined in your licensing agreement.

Third-Party Services

The products and software may integrate with third-party services. HOI, LLC is not responsible for the performance or reliability of these third-party services. Use of third-party services is subject to their respective terms and conditions.

Severability

If any provision of these terms is found to be invalid or unenforceable, the remaining provisions will continue to be valid and enforceable.
